1. Acceptance of These Terms
These Terms of Service (the “Terms”) govern your access to and use of the AcadAI mobile application, website, and related products and services (collectively, the “Service”). The Service is operated by ACADAI GENERAL TRADING LLC SPC (“AcadAI,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service for a school, company, or other organization, you represent that you are authorized to accept these Terms for that organization.
2. Eligibility and Minors
You must be at least 4 years old, or the minimum digital-consent age required where you live, to use the Service independently. If you are under the age of legal majority, a parent or legal guardian must review and agree to these Terms for you.
The Service is not directed to children below the minimum permitted age. A parent, guardian, school, or other authorized adult must not allow a child to submit personal data unless legally valid permission has been obtained. If you believe a child has provided personal data improperly, contact us so we can investigate and take appropriate action.
3. The AcadAI Service
AcadAI provides educational and productivity tools, which may include AI-assisted quizzes, explanations, summaries, study materials, feedback, and related features. Features may vary by device, location, account type, or subscription plan.
AcadAI supports learning but does not replace teachers, qualified professionals, official course materials, or independent judgment. You remain responsible for checking information before relying on or submitting it.
4. Accounts and Security
You agree to provide accurate, current information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. You must notify us promptly at [CONTACT EMAIL] if you suspect unauthorized access. You may not sell, transfer, rent, or share an account in a way that compromises security or violates your subscription plan.
5. Artificial Intelligence Features
How AI is used. Some features use third-party artificial intelligence service providers, including OpenAI and Google Gemini, to process requests and generate outputs. Depending on the feature you choose, data sent for processing may include the prompts, questions, text, documents, images, or other material you submit, together with technical information needed to provide the requested feature.
Your permission. Where required, AcadAI will present a separate disclosure identifying the data and AI provider involved and will request your permission before transmitting personal data to that provider. Declining permission may prevent the relevant AI feature from working, but will not by itself authorize us to send the data. You may withdraw permission through App Setting; withdrawal applies to future transmissions.
AI limitations. AI output may be incomplete, inaccurate, outdated, biased, offensive, or unsuitable for your purpose. Outputs may not be unique, and another user may receive similar content. You must review outputs before relying on, publishing, or submitting them. AI output is not professional, medical, legal, financial, safety, or academic-integrity advice.
Responsible academic use. You are responsible for complying with your school’s or institution’s rules concerning AI, citations, collaboration, examinations, and original work. Do not represent AI-generated material as entirely your own when disclosure or attribution is required.
6. Your Content and Permissions
“Your Content” means material you submit to the Service, including prompts, text, questions, documents, images, and feedback. You retain any ownership rights you have in Your Content.
You grant AcadAI a limited, non-exclusive, worldwide license to host, copy, transmit, process, display, and adapt Your Content only as reasonably necessary to operate, secure, support, and improve the Service, comply with law, and provide features you request. This license ends when Your Content is deleted from our active systems, subject to reasonable backup, security, fraud-prevention, and legal-retention periods described in our Privacy Policy.
You represent that you have all rights and permissions needed to submit Your Content and permit its processing. Do not upload confidential records, sensitive personal data, copyrighted assessment materials, or another person’s information unless you are legally authorized to do so and the disclosure is necessary.
7. Acceptable Use
You may not use the Service to:
- break the law, violate another person’s rights, or facilitate fraud, cheating, harassment, exploitation, or harm;
- submit content that is unlawful, threatening, discriminatory, sexually exploitative, defamatory, malicious, or invasive of privacy;
- impersonate another person or misrepresent the origin, authenticity, or authorship of content;
- upload malware, disrupt the Service, bypass safeguards, probe vulnerabilities, or gain unauthorized access;
- scrape, reverse engineer, copy, resell, or use automated means to access the Service except where applicable law expressly permits it;
- use outputs to make high-impact decisions about a person in education, employment, housing, credit, insurance, healthcare, or legal services without appropriate human review and lawful authority; or
- use the Service to develop or train a competing AI model except with our written permission.
We may investigate suspected misuse and take proportionate action, including limiting content, restricting features, suspending accounts, preserving evidence, or reporting conduct when legally required.
8. Subscriptions, Billing, Cancellation, and Refunds
Some features require payment. Prices, billing periods, trial terms, and included features are shown before purchase and may vary by region or platform.
Automatic renewal. A recurring subscription renews automatically at the displayed price and billing interval unless you cancel before the renewal date. Your payment method will be charged through the platform or payment provider used for purchase.
Cancellation. You may cancel at any time through the subscription settings of the platform where you purchased (for example, your Apple ID subscription settings for an App Store purchase). Unless applicable law or the relevant platform requires otherwise, cancellation stops future renewal and access continues until the end of the paid billing period.
Trials and promotions. Trial eligibility and duration are disclosed at sign-up. Unless you cancel before a paid period begins, the subscription may convert to a paid subscription at the price shown when you enrolled.
Refunds. Purchases made through Apple, Google, or another third-party store are subject to that store’s billing and refund rules and must generally be requested from that store. Direct purchases are refundable only when required by applicable law or under any refund policy displayed at checkout. Nothing in these Terms limits non-waivable consumer rights.
We may change future subscription prices or plan features with notice required by law or the applicable store. A price change will not apply before the date disclosed to you.
9. AcadAI Intellectual Property
The Service—including its software, interface, design, branding, and content supplied by AcadAI—is owned by AcadAI or its licensors and protected by intellectual-property law. Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for lawful personal or internal educational purposes.
If you send suggestions or feedback, you allow us to use them without restriction or compensation, but we will not identify you publicly without permission.
10. Accessibility, Inclusion, and Respect
AcadAI is intended to support learners from varied backgrounds, identities, abilities, languages, and educational settings. We do not exclude users or tolerate misuse of the Service based on race, color, ethnicity, nationality, religion, sex, gender, gender identity or expression, sexual orientation, age, disability, neurodiversity, socioeconomic status, or any other status protected by applicable law.
We aim to improve accessibility and welcome feedback about barriers. If you need assistance or a reasonable accommodation when accessing the Service, contact [ACCESSIBILITY EMAIL]. Availability of a particular accommodation may depend on technical feasibility and applicable law.
11. Third-Party Services and Links
The Service may interact with app stores, payment processors, authentication services, analytics providers, cloud infrastructure, AI providers, or third-party websites. Their services are governed by their own terms and privacy practices. AcadAI is not responsible for third-party services beyond the extent required by law, but we remain responsible for our own collection, use, and disclosure of personal data as described in our Privacy Policy.
If you downloaded the app from Apple’s App Store, you acknowledge that these Terms are between you and AcadAI, not Apple. Apple has no obligation to provide maintenance or support for the Service, and Apple and its subsidiaries are third-party beneficiaries of these Terms to the extent provided by Apple’s applicable minimum end-user-license terms.
12. Service Availability and Changes
We may update, improve, suspend, or discontinue parts of the Service. We do not promise uninterrupted or error-free availability. Where a change materially reduces a paid feature, we will provide notice or a remedy when required by applicable law. We may release beta or experimental features that are provided for evaluation and may change without notice.
13. Suspension, Termination, and Account Deletion
You may stop using the Service at any time and may request account deletion through App Setting. Deleting the app does not automatically cancel a subscription.
We may suspend or terminate access if you materially or repeatedly violate these Terms, create a security or legal risk, fail to pay applicable fees, or misuse the Service. When reasonable, we will provide notice and an opportunity to address the issue. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute provisions—will survive.
14. Disclaimers
To the maximum extent permitted by law, the Service and all outputs are provided “as is” and “as available.” AcadAI disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not guarantee educational outcomes, grades, admission, certification, or that AI output will be correct or accepted by an institution.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.
15. Limitation of Liability
To the maximum extent permitted by law, AcadAI and its directors, employees, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or opportunity arising from the Service.
To the maximum extent permitted by law, AcadAI’s total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid AcadAI for the Service during the 12 months before the event giving rise to the claim.
These limits do not exclude liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable. Your mandatory consumer rights remain unaffected.
16. Indemnification
To the extent permitted by law, if you use the Service on behalf of a business or organization, that organization will defend and indemnify AcadAI against third-party claims arising from its unlawful use of the Service, its breach of these Terms, or content it submits. This provision does not apply to individual consumers where prohibited by law.
17. Governing Law and Disputes
These Terms are governed by the laws of [COUNTRY/STATE], without regard to conflict-of-law rules. Courts located in [CITY, COUNTRY/STATE] will have jurisdiction, except where the mandatory law of your place of residence gives you the right to bring a claim elsewhere.

18. Changes to These Terms and General Provisions

If a change is material, we will provide reasonable notice through the Service, by email, or by another appropriate method before it takes effect where required. The updated effective date will appear at the top. Continuing to use the Service after the effective date means you accept the revised Terms, except where the law requires additional consent.
If any provision is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, corporate reorganization, or sale of assets, subject to applicable law. These Terms, together with referenced policies and any purchase terms shown to you, are the entire agreement concerning the Service.
